1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VouchView ("Company," "we," "us," or "our") governing your access to and use of the VouchView platform, including our website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

VouchView is a testimonial management platform that enables users to:

• Collect customer testimonials and reviews through customizable forms and campaigns
• Import testimonials from external sources including social media platforms and CSV files
• Manage, organize, and approve testimonials through a dashboard interface
• Create customizable testimonial widgets for embedding on websites
• Display testimonials in various layouts including carousels, grids, lists, and case studies
• Track widget performance and testimonial analytics

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Creation

To access certain features, you must create an account by providing:

• Accurate and complete registration information
• A valid email address
• A secure password
• Company or business information (if applicable)

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.4 Account Accuracy

You agree to provide accurate, current, and complete information and to update such information to maintain its accuracy. We reserve the right to suspend or terminate accounts with false or misleading information.

4. Subscription Plans and Payments

4.1 Subscription Tiers

VouchView offers various subscription plans with different features and limitations. Plan details, pricing, and features are available on our pricing page and may be updated from time to time.

4.2 Billing

By subscribing to a paid plan, you agree to:

• Pay all fees associated with your selected plan
• Provide valid payment information
• Authorize automatic recurring charges
• Pay applicable taxes and fees

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You will be charged the then-current rate for your plan.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or unused portions of the Service, except as required by law or at our sole discretion.

4.5 Price Changes

We reserve the right to modify subscription prices with at least 30 days' notice. Price changes will apply to subsequent billing periods after notice is provided.

5. User Content and Testimonials

5.1 Your Content

You retain ownership of all testimonials, reviews, and content you upload, import, or collect through the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely to provide and improve the Service.

5.2 Content Responsibility

You are solely responsible for your User Content and represent that:

• You have obtained all necessary rights, permissions, and consents to collect and display testimonials
• Your content does not violate any laws, regulations, or third-party rights
• Your content is accurate and not misleading
• You have the right to use any names, images, or personal information included in testimonials
• Your content does not contain malicious code, viruses, or harmful materials

5.3 Prohibited Content

You may not upload or display content that:

• Is illegal, fraudulent, defamatory, or obscene
• Infringes intellectual property rights
• Contains hate speech, harassment, or discrimination
• Promotes violence or illegal activities
• Contains false or fabricated testimonials
• Violates privacy rights or data protection laws
• Contains spam, malware, or phishing attempts

5.4 Content Moderation

We reserve the right (but have no obligation) to review, monitor, remove, or modify User Content that violates these Terms or is otherwise objectionable. We may suspend or terminate accounts that repeatedly violate our content policies.

5.5 Testimonial Authenticity

You agree to display only genuine testimonials from real customers. Creating, purchasing, or displaying fake testimonials is strictly prohibited and may result in immediate account termination and legal action.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated tools to scrape, crawl, or harvest data
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any proprietary notices or labels
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to send spam or unsolicited communications
• Impersonate others or misrepresent your affiliation
• Overload or abuse our infrastructure or resources

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its design, features, functionality, code, graphics, logos, and trademarks, is owned by VouchView and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free right to use, modify, and incorporate such feedback without compensation or attribution.

8. Widget Embedding and Display

8.1 Embed Rights

Subject to these Terms and your active subscription, you may embed VouchView widgets on websites you own or control. You may not embed widgets on websites that violate these Terms or contain illegal content.

8.2 Widget Modifications

You may not modify, alter, or tamper with the widget embed code except as explicitly permitted through our customization interface. Unauthorized modifications may result in service disruption or account termination.

8.3 Performance and Availability

While we strive for high availability, we do not guarantee uninterrupted widget display. Widget performance may be affected by your website's configuration, network conditions, or maintenance activities.

9. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree to comply with all applicable data protection laws, including GDPR and CCPA, when collecting and processing testimonials and personal information.

You are responsible for obtaining necessary consents from individuals whose testimonials you collect and display. You must provide appropriate privacy notices and honor data subject rights requests.

10. Third-Party Services and Integrations

The Service may integrate with third-party platforms (e.g., Twitter, payment processors). Your use of these integrations is subject to the third party's terms and policies. We are not responsible for third-party services, their availability, or their practices.

When importing testimonials from third-party sources, you must comply with their terms of service and API usage policies.

11. Service Availability and Modifications

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may add, remove, or change features, impose usage limits, or update technical requirements.

11.2 Maintenance

We may perform scheduled or emergency maintenance that temporarily interrupts Service availability. We will attempt to provide advance notice of scheduled maintenance when possible.

11.3 No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, VouchView and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your content
• Service interruptions, errors, or security breaches
• Any bugs, viruses, or harmful code transmitted through the Service

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless VouchView and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the dashboard settings.

14.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, fail to pay fees, or for any other reason at our sole discretion.

14.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Embedded widgets will stop functioning. We may delete your account data after a reasonable period, subject to our data retention policies and legal obligations. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@vouchview.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive any right to participate in class actions or class-wide arbitration.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in [Your Jurisdiction].

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VouchView regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your account.
